Todd R. Kornfeld is of counsel in the Financial Services Practice Group, resident in Pepper’s New York office. Mr. Kornfeld concentrates his practice in securities and derivatives law, particularity with respect to the Securities and Exchange Acts, the Investment Advisers Act and the Commodity Exchange Act. He also advises on general corporate matters. His clients include issuers in token sales and investors in cryptocurrencies and digital assets such as Bitcoin, NASDAQ listed biotech companies with financing and securities reporting and compliance needs, and hedge fund managers who need assistance with fund formation and regulatory matters, including CPO registration.
Mr. Kornfeld also represents parties in the negotiation of derivatives and trading contracts, in particular with respect to prime brokerage, future commission agreements and interest rate, energy and environmental derivatives. Additionally, FinTech, public securities offerings including PIPEs, financial regulation and the commodities space are of particular interest to Mr. Kornfeld. He also has extensive experience representing issuers, placement agents and investment managers with various structured finance products, including CLOs, CDOs, CMBS and credit-linked notes.
