Thomas P. Dwyer is a partner in the Corporate and Securities Practice Group of Pepper Hamilton LLP, resident in the firm’s Berwyn office. Mr. Dwyer is co-chair of Pepper's Emerging Growth Group.
Mr. Dwyer’s practice focuses on advising and executing mergers and acquisitions, private equity and venture capital transactions. He also serves as outside general counsel to a number of emerging, middle market and public companies who rely on his advice regarding general corporate matters, and for which he coordinates additional firm resources in areas including intellectual property, regulatory matters, litigation, tax and government relations. Mr. Dwyer actively advises and assists clients in achieving their legal and business goals, including making appropriate introductions to potential financing sources, accountants, investment bankers, consultants and potential key employees.
Mr. Dwyer has experience working with clients in many industries including: energy and energy technology, technology and software, health care information technology, life sciences, internet services, manufacturing, business services and gaming.
Mr. Dwyer co-chairs the firm’s Energy Industry Group. His energy experience includes serving as special in-house counsel to the treasury and capital markets groups of a Fortune 500 energy company. Mr. Dwyer initiated and leads the Mid-Atlantic Energy Technology Forum, and as chairman of the 2009 IMPACT Conference (formerly MAC Conference), he successfully introduced, initiated and implemented the program’s first-ever “energy technology track.” In addition, Mr. Dwyer participated as a business plan judge, company coach, and member of the planning committee for the Private Investor Forum’s Angel Venture Fair and sits on the Ben Franklin Technology Partners (BFTP) Investment Advisory Committee (the BFTP committee which makes energy technology investments). He also is a member of the American Bar Association’s Venture Capital and Private Equity Subcommittee. Most recently, Mr. Dwyer has been appointed to the 2014 Maryland Clean Energy Center Advisory Council.
Before joining Pepper, Mr. Dwyer was a partner with Blank Rome LLP in Philadelphia and served as co-chair of the firm’s venture group. Also, as an active participant in the energy group, he founded and led the firm’s cleantech practice.
A frequent speaker on topics such as venture capital, private equity and mergers and acquisitions, Mr. Dwyer has served as a guest lecturer at Villanova University School of Law in the area of mergers and acquisitions, and was an adjunct professor for University of Baltimore’s MBA program in the area of entrepreneurship and technology transfer.
