Irwin M. Latner is a partner in the Corporate and Securities Practice Group of Pepper Hamilton LLP, resident in the New York office. Mr. Latner has a broad-based practice that focuses on representing hedge fund and private equity fund managers in the establishment of private investment funds and their ongoing operations. He represents both domestic and offshore managers who employ varied investment strategies and need assistance with fund setup and structuring, SEC and CFTC registration and reporting, agreements with seed or early-stage strategic investors, upper-tier management company structuring, developing effective compliance programs, marketing and advertising practices, employment and compensation arrangements, portfolio investment transactions, and compliance with the myriad federal and state laws applicable to their businesses.
Tracking the evolution and diversity of investment markets, Mr. Latner represents funds and managers pursuing a range of liquid, illiquid and hybrid investment strategies, including pledge funds, direct lending funds, emerging market and macro funds, structured credit funds and art funds, as well as traditional private equity, real estate, venture capital and energy/infrastructure funds. Mr. Latner also advises several crowdfunding and online investment platforms.
Mr. Latner advises U.S.-based and non-U.S.-based broker-dealers, placement agents, commodity trading advisers, seeding and incubation firms, and other types of financial service companies and alternative investment firms, both in legal compliance and strategic growth matters. He also counsels various private equity firms in transactional matters as well as investors and asset managers in structuring joint ventures, working capital financings, managed-account agreements and single-investor funds.
Mr. Latner actively advises and assists clients in achieving their legal and business goals, including making strategic introductions to potential funding sources, key employees, consultants and service providers. He has written several articles and has been quoted extensively in the press on the topics of early-stage investing, launching a new fund and strategic approaches to capital raising.
In addition, Mr. Latner counsels family offices in all aspects of their business and investment platforms, and he works with emerging companies on early-stage financing and capital-raising transactions, governance structures, and employment agreements and related compensation structures. In particular, Mr. Latner has represented a number of domestic and international family offices in structuring and implementing their investment and governance platforms, developing succession planning structures, minimizing risk exposures and monitoring regulatory compliance.
Before joining Pepper, Mr. Latner was a partner and chair of the Hedge Fund Group at Herrick, Feinstein LLP in New York. He also co-founded Herrick’s Family Office Group.
