Christopher A. Rossi is a partner in the Corporate and Securities Practice Group of the Commercial Department of Pepper Hamilton LLP, resident in the Berwyn and New York offices. He is the chair of the firm's SBIC practice and is co-chair of the firm’s Private Fund Services Group.
Mr. Rossi’s practice concentrates his practice in the formation and operations of Small Business Investment Companies (SBICs) and other private funds, including with respect to SBIC licensing and regulatory matters, general partner/limited partner dealings, investment fund principal compensation and planning, private fund adviser operations and regulatory compliance, and corporate governance matters.
Mr. Rossi also represents private funds (including SBICs) in their investment activities, including platform and add-on investments and portfolio company divestitures and related equity and senior and subordinated debt financing transactions. Mr. Rossi also represents companies in relation to their acquisition and divestiture strategies and transactions. In addition, he has experience representing U.S.-based companies in international merger and acquisition transactions, particularly in the United Kingdom and Germany.
Before joining Pepper, Mr. Rossi served as in house counsel for IBM Corporation.
