Pepper Hamilton represented Corporation Service Company (CSC), the world’s leading provider of business, legal, tax and digital brand services, in its acquisition of TCS-Groep (TCS), a Netherlands-based service provider for alternative investment funds. The acquisition was first announced on November 4, 2019, and was finalized with regulatory approval on March 31, 2020. TCS’s staff of 26 employees across two offices will join CSC as part of the acquisition. Financial terms of the transaction were not disclosed.
Headquartered in Wilmington, DE, CSC has offices in all 50 United States, as well as Canada, Europe, and the Asia-Pacific region. The company is a leading provider of specialized administration services to alternative asset managers across a range of fund strategies, capital markets participants in both public and private markets, and corporations requiring fiduciary and governance support.
CSC was represented by Matthew M. Greenberg, a partner and chair of the Corporate and Securities Practice Group of Pepper Hamilton, and Taylor B. Bartholomew, an associate in the Corporate and Securities Practice Group of Pepper Hamilton.
