"The principal significance of the decision is that it enables a plaintiff to sue nonresident directors and officers for breaches of duty that are not breaches of fiduciary duties, that is, for other types of wrongful conduct, as long as the corporation itself is a party to the lawsuit,” said M. Duncan Grant, vice chairman of Pepper Hamilton LLP’s commercial litigation practice, who argued the case on behalf of the plaintiffs alongside Chris Chuff.
