Authorities will also generally be looking to see whether IBM's "stated reason for doing the deal holds up," Sicalides said.

"This could be important to the enforcement agencies," Sicalides said.

"Generally, the U.S. agencies will not likely pose a significant hurdle to the deal," Sicalides said. "I would think that the EC will look at it very closely, but as long as IBM convinces the EC that it will maintain GDPR obligations, live up to its open source commitment and not use the Red Hat technology [and] products to block competitors, the deal will not be held up for long."
