Halliburton II and the Price Impact Rule Decision: Then and Now
Pepper partner Pamela S. Palmer will participate in a panel discussion on "Halliburton II and the Price Impact Rule Decision: Then and Now," hosted by The Knowledge Congress on Wednesday, April 20 from noon to 2:00 PM (EDT).
The panel will discuss the continuing impact of the ruling of U.S. District Court for the Northern District of Texas on remand from Halliburton, Co. v. Erica P. John Fund, Inc. (Halliburton II), where the U.S. Supreme Court had held that at the class certification stage, defendants must be allowed to rebut the fraud-on-the-market presumption of reliance by certifying that each alleged misrepresentation did not affect the company's stock price. On remand, the district court held that "Halliburton Co. had successfully rebutted the presumption of reliance with respect to five out of six alleged corrective disclosures.” Hence, the plaintiffs' motion for class certification was partially granted.
This webinar will will help securities lawyers, business lawyers, general counsel, corporate executives and other business leaders understand the important aspects of this ruling. Speakers will also offer best practices in managing risk issues while remaining compliant with securities laws.
