Family Office Practice

We have represented and continue to represent several family offices in connection with their direct investment activities, particularly in buyout transactions, startup company investments and real estate joint ventures, including:

  • a recent acquisition by a family office of a skincare products company

  • a recent acquisition by a family office of a waste-hauling company

  • a pending sale transaction of a software company controlled by a family office.

Other representative engagements include:

  • representing a family office started by the former head of alternative investment management at Morgan Stanley; advising on all aspects of the family office, ranging from formation, advising about managers and sub-managers, compliance, secondary transactions, tax planning, tax assets, family member deaths, succession planning, real estate leases and employment matters

  • assisting a family office in co-investing with a health care investment group; structuring the family office to enable it to make its own investment decisions separate from its venture capital parent

  • restructuring a conglomerate of family entities to fit within exemptions and/or exclusions within the Advisers Act in order to assist them with compliance on a regulatory front; representation has included creating various investment partnerships and assisting them in managing an SEC examination of a third-party manager of a partnership in which our client is the limited partner

  • creating a family office platform for investments in early-stage and startup companies that invests in minority and controlling investments in a multitude of sectors; this family office has a substantial amount of assets, but has dedicated $20 million to this platform

  • creating a family office platform for investments in the natural resource space, primarily focusing on investments in oil and gas investing; the family office targets investments from $1 million to $15 million

  • creating an ~$100 million family office platform focused on investments in the health care sector; the platform is a sub-platform of a large family office platform, which invests in a multitude of sectors

  • creating a family office platform for the CEO of a venture company, primarily focusing on investments in early-stage technology

  • setting up a family investment platform for a retired hedge fund manager, including estate planning and tax-efficient investment structures; also reviewed investment documentation for individual deals

  • representing a large family office in negotiating a seed investment transaction with a hedge fund manager, including revenue-sharing agreements and regulatory advice

  • representing a real estate family office in building out an external investment platform for other family investors

  • representing a non-U.S. family office in transitioning residency of certain family members to the United States, and advising on related tax planning and other strategic issues

  • reviewing investment transactions in private funds for several single family offices

  • advising several family offices on SEC and CFTC family office registration exemptions.
