Counseling
Pepper counseled a biotechnology company in a coordinated international licensing
and development program, including the licensing of patents and trade secrets from
multiple U.S. and foreign patent holders, the negotiation and documentation of research
and development agreements with multiple U.S. and foreign research institutions,
and the negotiation and documentation of debt and equity financing to fund the research
and development program.
Pepper represented a pharmaceutical company in negotiations with a publicly traded
biotechnology company to acquire the rights to various potential cancer therapies,
and its parent company, in negotiations to create a corporate partnering relationship
to support development of a promising cancer therapy and to distribute the resulting
products to the world market. Pepper represented a privately held biotechnology
company in the acquisition of a publicly traded biotechnology company.
Patents
Pepper procures patents for chemical compounds, pharmaceuticals, nutraceuticals,
cosmetics, nanotechnology, video display technologies, portable electronic devices,
surgical compositions, infrared-based and radio communications systems, security
and encryption technologies, semiconductors, industrial designs, environmental monitoring
systems, financial business methods and computer software.
Pepper provides legal opinions on the validity, enforceability, and infringement
of patents and related technology.
Pepper counsels drug companies on unique patent issues relating to drug development,
including Orange Book listing, label claims, patent term restoration and extension,
and subtle issues of written description, enablement, genus and species issues,
and anticipation and obviousness in the “unpredictable arts.”
Pepper is assisting a company in evaluating whether a new method of wood treatment
requires regulatory approvals and if so, assisting the company. Pepper has advised
a company evaluating a new drinking water treatment technology on the potential
markets, the regulatory requirements, and patentability of the invention.
Pepper advised on the best method of obtaining governmental “verification” or other
approvals of innovative less polluting technologies. Pepper’s intellectual property,
commercial, and environmental attorneys in the firm assist clients in developing
business strategies and obtaining capital (through the Small Business Administration,
the EPA or private sources). We provide a wide range of patent-related services,
technology transfer and licensing, including arrangements within the former U.S.S.R.
and the Peoples’ Republic of China as well as companies throughout Europe, the Middle
