Taylor represents private equity clients in the acquisition, growth, and sale of portfolio companies, as well as corporate clients in a wide variety of public and private transactions, including mergers, sales, acquisitions, and carve-outs.
He also specializes in counseling clients in matters of Delaware corporate and alternative entity law, with an emphasis on compliance with the Delaware General Corporation Law, as well as the fiduciary duties of boards of directors and special committees arising out of a wide range of corporate and commercial transactions, including in connection with potential merger and financing transactions and conflict of interest situations. Taylor's practice also includes rendering legal opinions on matters of Delaware law.
Additionally, Taylor is a frequent commentator on corporate and commercial developments emanating from the Delaware Court of Chancery and Delaware Supreme Court. His articles have been featured by the Harvard Law School Forum for Corporate Governance, Law360, the American Bar Association, and other print and digital publications. Taylor also lectures on matters of corporate governance, fiduciary duty, and mergers and acquisitions.
