Robert A. Friedel is a partner in the Commercial Department of Pepper Hamilton LLP, handling business transactions generally, concentrating his practice on securities law compliance, corporate governance, public and private securities offerings, private equity and venture capital investments, mergers and acquisitions, corporate reorganizations, and general corporate representation of U.S. and foreign companies in a variety of industries.

Mr. Friedel regularly counsels NYSE, Nasdaq and other publicly traded companies on the latest developments and requirements affecting public companies, including SEC regulations and stock exchange rules, as well as developments in statutory and case law. He represents issuers, private equity funds and venture capital investors in complex equity investment, leveraged recapitalization and restructuring transactions. Mr. Friedel represents issuers, underwriters and selling shareholders in initial public offerings, follow on public offerings, PIPEs offerings and high yield debt 144A offerings including related exchange offers. He represents purchasers and sellers in merger and acquisition transactions involving publicly and privately held acquirers and targets.

Mr. Friedel also represents publicly and privately held clients in the following areas:

  • SEC filings and disclosure: guiding public companies and their officers and directors through the increasingly complex regulations affecting public disclosure and filings
  • tender offers and exchange offers for domestic and foreign issuers
  • proxy contests
  • corporation finance: structuring and documentation of private placements and PIPEs offerings to U.S. and offshore investors, on behalf of issuers, placement agents and investors.

Mr. Friedel serves as editor of many of the firm’s client updates explaining recent developments in securities law and related areas, and he is very involved in internal firm education and training in these areas.
