Michael Mann is a partner with Pepper Hamilton LLP, concentrating on the representation of businesses in commercial transactions and providing general corporate and commercial law advice. He is the partner in charge of the Princeton office and a member of the firm’s Executive Committee.
Mr. Mann is a member of the firm’s Corporate and Securities Practice Group, and frequently acts as general counsel to privately owned companies, for which he handles mergers, acquisitions, stock transactions, asset sales, joint ventures, and senior, subordinated and mezzanine financings, as well as capital markets transactions. Mr. Mann has also represented institutions and companies in negotiating and closing tax-free bond financings and franchisors in multi-state and federal matters related to the sale and offering of franchise businesses nationwide.
In his banking and finance practice, Mr. Mann has represented banks in initial and follow-on offerings of securities, mergers and acquisitions and regulatory and corporate governance and senior and subordinated debt transactions. In 2007, he co-founded First Choice Bank and acted as one of the initial incorporators of the bank. He represented the First Choice as outside general counsel for more than 10 years as its assets grew to more than $1 billion, and represented the bank in its merger with Berkshire Bank in 2017.
Mr. Mann has been a member of the Board of the Mid-Jersey Chamber of Commerce since 2000, and serves on its Executive Committee and as counsel to the board. He currently serves on the board of the Jewish Federation of Princeton, Mercer Bucks, and has served on the Mercer County district of the State Attorney Ethics Board and the Board of the Risk Management Associates. He has been an active volunteer and supporter of such charitable and community organizations as Greenwood House, First Tee, and the Princeton National Rowing Association, and has served on the advisory boards of several banks. He is a member the American Bar Association and the New Jersey State Bar Association, Business Law and Banking Law Sections.
Mr. Mann regularly presents to boards of directors, industry groups and at private continuing education events in the areas of commercial law, corporate governance and banking regulations.
Before joining Pepper, Mr. Mann was a shareholder with Jamieson, Moore, Peskin & Spicer, P.C., where he chaired that firm’s corporate and commercial practice until leading the firm in its merger with Pepper on January 1, 2001.
