Madonna Fleming is a paralegal in the Corporate and Securities Practice Group of Pepper Hamilton LLP, resident in the New York office. Ms. Fleming has worked on various corporate transactions including IPOs, reverse mergers, shelf offerings, private placements and debt and equity offerings. She specializes in corporate entity formation and dissolution, drafting all necessary corporate governance documents including by-laws, operating agreements, board and shareholder resolutions, qualifications and sales tax certificates for New York State. Ms. Fleming is also proficient in many federal and state security filings such as Section 16 reporting, form IDs, form Ds, forms S-1, S-11, 10-K, 10-Q, 8-K, and other SEC forms, as well as blue sky regulations, annual reports and franchise fees. In addition to the aforementioned filings, Ms. Fleming has also worked with self-reporting agencies like FINRA, on behalf of clients, to disclose offerings pursuant to FINRA Rules 5122 and 5123 as well as to acquire new CUSIPs for mergers, stock splits, name changes and various other corporate transactions.
In addition to her corporate background, Ms. Fleming has also worked on various class action cases and is proficient in case management, legal research, document collection and production, and witness and trial preparation.
