Pepper Hamilton Represents Applied DNA Sciences Inc. in Acquisition of Vandalia Research Inc.
In a transaction featured on The Deal on September 17, 2015, Pepper Hamilton LLP provided legal counsel to Applied DNA Sciences Inc. (Applied DNA), a NASDAQ Capital Market-listed provider of DNA-based anti-counterfeiting technology, product genotyping services and product authentication solutions in its acquisition of the assets of Vandalia Research Inc. (Vandalia), a privately held company. Vandalia's core technology and intellectual property portfolio allow for the large-scale production of specific DNA sequences using the polymerase chain reaction (PCR).
Vandalia's Triathlon TM PCR systems are anticipated to facilitate compliance with drug manufacturing guidelines as Applied DNA aims to DNA-mark individual doses to combat counterfeit drugs. The acquisition also expands Applied DNA's manufacturing capacity; provides Applied DNA with established supply relationships across key companies in the biotechnology, pharmaceutical and diagnostic markets, where Vandalia DNA is already used as a business-critical therapeutic, diagnostic and reagent; and affords the company the opportunity to cross-sell its supply chain security solutions. Moreover, a new capacity for Applied DNA will be the ability to manufacture longer DNA sequences valuable in gene therapy, DNA vaccines and diagnostics.
The Pepper Hamilton team was led by Merrill M. Kraines and included David P. Russo, Joan C. Arnold, Lance S. Jacobs, Thomas D. Phelan, Peter T. Wakiyama, Brian S.S. Auerbach, Frank B. Tripodi, Matthew J. Maguire and David J. Tshudy.
