The federal securities laws affect health care institutions (our clients) in two ways: when the institution is the issuer of taxable bonds and tax-exempt bonds, and when the institution purchases investments (or attempts to hedge its investments) in either its operating cash account or its endowment. What is the impact on the tax-exempt bonds of physician and other provider contracts that constitute “private use contracts” and that fail to meet the IRS safeharbor? What is the liability of the members of the board and the management team? In the role as investor – What is the effect of Dodd Frank on the institution and its investment choices? What is a “swap” under the new definitions and how does it affect health care providers? What are the new solicitor and pay-to-play limitations? What are the new ERISA disclosure rules.
