  • representation of a SBIC in a $50 million acquisition of a consumer products company from founding stockholders, including a rollover of founder equity, which acquisition was structured as a hybrid debt/equity investment
  • representation of a mezzanine fund in the structuring, negotiation and documentation of $31.5 million in unsecured senior subordinated notes to finance the acquisition by a private equity sponsor of an interest in a leading provider of wireless data radio solutions
  • representation of a SBIC in a $30 million acquisition of a manufacturing company from a private equity fund, including partial rollover of equity by management
  • representation of a business development corporation, and its drop down SBIC, in the structuring, negotiation and documentation of a $30 million cross lien term loan for the benefit of a chain of wireless equipment stores, including a delayed draw term loan for add-on acquisitions
  • representation of a SBIC in a $35 million sale transaction of a manufacturing company to a private equity firm
  • representation of a private debt fund in the structuring, negotiation and documentation of a $16.5 million second lien term loan for the benefit of a leading provider of service contracts to the used car market, including an associated warrant
  • representation of a SBIC in a $25 million acquisition of a home décor company from a private equity fund, including a rollover of equity, which acquisition was structured as hybrid debt/equity investment
  • representation of affiliated debt funds (consisting of a BDC, a SBIC and a private fund) in the structuring, negotiation and documentation of a $41.5 million cross lien term loan to finance the acquisition by a private equity sponsor of a plastics manufacturer
  • represented a SBIC in the structuring, negotiation and documentation of $8 million in senior secured notes for the benefit of a health services company, including an associated warrant
