Pepper Hamilton LLP represents major national and multinational corporations, emerging businesses, foreign governments, trade associations, nonprofit organizations, entrepreneurs and individuals. We provide U.S. and foreign clients with the legal services necessary to structure, negotiate and document business transactions; resolve disputes through litigation, arbitration or negotiation; and comply with (and help to shape) government regulations.

Our international practice includes significant experience assisting financial institutions and other clients in trade finance matters, including transactional, regulatory and controversy matters. Our experience includes counseling bank credit review committees (as well as borrowers) on:

  • off-shore holding company structures and enforceability issues
  • split-risk arrangements
  • bankers acceptances
  • forfaiting, purchase order, receivables and invoice discounting financing
  • supply chain/trade in goods matters
  • goods in transit issues
  • letters of credit (confirmed and unconfirmed), bills of exchange and counter trade agreements
  • contracts of carriage, bill of lading and other shipping matters
  • choice of law clauses and similar contract matters
  • export/import financing, including the U.S. Export-Import Bank and other government ex-im bank loan guarantee programs, Overseas Private Investment Corporation financing, Multilateral Investment Guarantee Agency, International Finance Corporation and Inter-American Development Bank financing
  • sovereign risk and other foreign-exchange regulation matters
  • guaranty issues
  • structured finance programs (including collateralized debt obligations, mortgage-backed securities, asset-backed securities, accounts receivable purchases, collateralized loan obligations, etc.), payment systems and related credit and political risk insurance
  • international arbitration, litigation and dispute resolution, including UNCITRAL/New York Convention guidance, as well as arbitrations under the rules of the American Arbitration Association, the International Center for the Settlement of Investment Disputes and the International Chamber of Commerce.

Pepper’s International Trade Finance group includes lawyers from the firm’s Financial Services Practice Group, a 40-lawyer group exclusively devoted to serving the needs of financial services industry clients, and the International Practice Group, a multidisciplinary group of lawyers representing U.S. and non U.S. corporations in a variety of practice areas. Many of our lawyers have lived and worked abroad and/or are fluent in foreign languages. Pepper lawyers are leaders in international trade and business organizations, including the European American Chamber of Commerce, the British-American Chamber of Commerce, the Chambre de Commerce Franco-Americain, the National Italian American Foundation, the Italy-America Chamber of Commerce, the Mexican American Business Alliance of Pennsylvania, Delaware and New Jersey, the Chilean and American Chamber of Commerce of Greater Philadelphia, the Atlantic Council of the United States, the World Affairs Council and many others. A Pepper lawyer is one of the 12 mediators/arbitrators from the United States who serve on the panel of the Commercial Arbitration and Mediation Center for the Americas, a joint venture of Canadian, Mexican and U.S. arbitral institutions aimed at serving the needs of the business and legal communities when disputes arise between NAFTA partners. Another is the past president of the American Chapter and a member of the board of directors of the Union Internationale des Avocats (International Association of Lawyers), a Paris-based organization that is the world’s oldest international lawyers association. In addition, our lawyers teach international business and tax law courses and frequently write on a variety of international topics, from tax law to securities law.
