Odia Kagan

Odia Kagan is a technology transactions, privacy and data security attorney in the Corporate and Securities Practice Group of Pepper Hamilton LLP, resident in the Philadelphia office.

Ms. Kagan’s practice focuses on advising clients on matters of privacy and data protection as well as negotiating technology transactions. In her practice Ms. Kagan:

  • advises clients and in-house legal departments on privacy aspects of acquisition transactions, joint ventures and engagements of third party vendors including revising privacy and data protection provisions in commercial and acquisition agreements and conducting privacy focused due diligence
  • assesses, drafts and revises policies and procedures including with respect to privacy, social media and information security
  • negotiates and drafts service agreements, software licenses, SaaS agreements and e-commerce agreements
  • serves as outside member of the legal departments of large corporations in the health care, technology and e-commerce industries
  • serves as outside general counsel to emerging companies, supporting the company from formation and through to operations, commercial agreements and raising financing
  • serves as lead associate on M&A transactions: drafting acquisition documents and ancillary documents including transition services agreements, shareholders agreements, employment agreements, invention assignment and non-competition agreements; and managing the diligence process.

Ms. Kagan is a Certified Information Privacy Professional (CIPP/US).

Ms. Kagan was elected one of Pennsylvania’s “Lawyers on the Fast Track” for 2013 by The Legal Intelligencer.

Ms. Kagan is an adjunct professor at Drexel University School of Law where she teaches the upper level course “Internet law.”

Prior to joining Pepper, she was a partner in a law firm in Tel Aviv, Israel.

A First Lieutenant in the Israeli Defense Forces, Ms. Kagan served as a military advocate in the Military Advocate General’s Unit and as a legal advisor to the Military Advocate General. Ms. Kagan also was an advisor on comparative telecommunications law to the head of the Council for Cable and Satellite Broadcasting of the Israel Ministry of Communications.

Ms. Kagan authored the Israeli chapter in the 2006 edition of Cybercrime and Security, a treatise on cybercrime published by Oceana Publications, a division of Oxford University Press. She regularly writes and speaks on topics of privacy and information security.
