Janaki Rege Catanzarite

Janaki Rege Catanzarite is an associate in the Investment Management and India Practice Groups of Pepper Hamilton LLP.

Ms. Catanzarite has a transactional practice and concentrates in private investment fund formation and operations. She has assisted in the development and representation of private investment funds such as hedge funds, private equity fund, venture capital funds and fund-offunds.

Ms. Catanzarite has a strong India focus. Before she came to the United States in the year 2000, Ms. Catanzarite was licensed to practice law in India for 11 years. In India, she concentrated her practice in commercial litigation and corporate governance issues and was retained by corporations to give advice on various corporate issues. At Pepper, Ms. Catanzarite also is involved with the various aspects of Indian law.

Recent engagements in which Ms. Catanzarite has participated include:

  • advising on structuring deals in India to best take advantage of the Indian treaties
  • representing clients in structuring the U.S. side of the deal when investing in India
  • coordinating with Indian counsel to form a wholly owned subsidiary in India and procuring all the required licensing
  • reviewing documents prepared by Indian counsel for an India-based fund
  • advising principal groups on the formation and operation of investment funds, including private equity and hedge funds in India and the United States
  • representing private equity funds, venture capital funds and hedge funds in their ongoing operations including limited partner transfers and advising on investments in underlying funds and portfolio companies
  • collaborating with offshore counsel to create offshore parallel and feeder investment vehicles for private equity funds, hedge fund clients and venture fund clients
  • representing clients in its creation of a fund under the Term Asset-Backed Securities Loan Facility (TALF) of the New York Federal Reserve Bank
  • representing clients in the creation of hybrid funds, which are a cross between hedge funds and private equity funds
  • representing clients in a creation of an offshore fund to qualify for “distributor status” in the United Kingdoms
  • negotiating side letter arrangements on behalf of the investor.

Ms. Catanzarite speaks frequently on issues involving operating and structuring businesses in India. Her speaking engagements include:
