Michael Mann is a partner with Pepper Hamilton LLP, concentrating on the representation of businesses in commercial transactions and providing general corporate and commercial law advice. He is partner in charge of the Princeton office and a member of the firm’s Executive Committee.
Mr. Mann frequently acts as general counsel to privately owned companies, where he handles mergers, acquisitions, joint ventures and all related senior and subordinated debt financing as well all requisite equity financing. Mr. Mann also represents franchisors and franchisees in multi-state and federal matters related to the sale and offering of franchises and franchise businesses nationwide.
In his banking and finance practice, Mr. Mann has represented de novo banks in their initial public offerings of securities, and on regulatory and corporate governance matters, borrowers and lenders in senior and mezzanine transactions, public bond finance, securitizations, secured transactions, and asset-based lending as well as real estate-based lending. He also handles loan workouts, restructurings and recapitalizations.
Mr. Mann’s real estate practice includes representing buyers and sellers as well as owners and operators of commercial real estate, handling all related transactions including leasing, financing, joint ventures and securitizations. He has represented a major hospital system in the acquisition and sale of hospital real estate holdings and other business assets including assisted living, skilled nursing and other medical facilities. He has substantial experience in major ground leasing transactions where he has represented large institutions in the leasing and financing of ground lease projects. He also has extensive experience with New Jersey redevelopment law, having represented numerous clients in the sale and development of areas designated as redevelopment areas within the state. Mr. Mann is a regular speaker on general corporate finance, real estate and regulatory issues. He is a member of the board of the MidJersey Chamber of Commerce where he serves on the Executive Committee. He also has served on the Attorney Ethics Board of the Mercer County District and on the board of the Risk Management Association, where he has lectured on commercial lending issues. He also has served on the advisory boards of several state and national banks. He is a member of the American, New Jersey, Mercer County and Princeton Bar Associations.
Before joining Pepper, Mr. Mann was a shareholder with Jamieson, Moore, Peskin & Spicer, P.C., where he led that firm’s corporate and commercial practice.
